Terms of Service

Welcome to Dots IT and Software Limited (“Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, services, and any related products (collectively, the “Services”). By accessing or using our Services, you (“You” or “User”) agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately discontinue all use of the Services.

1. Acceptance of Terms

1. Agreement By using or accessing any part of the Services, you confirm that you have read, understood, and agree to be legally bound by these Terms, as well as our Privacy Policy and Cookie Policy, which are incorporated herein by reference.

2. Eligibility.You must be at least 18 years old and capable of entering into a binding contract to use our Services. By using the Services, you represent and warrant that you are 18+.

2. Changes to Terms

1. Modifications. We may revise these Terms at any time. The “Last Updated” date at the top will reflect when changes were made.

2. Notice of Changes.We will post updates on our website. Your continued use of the Services after any revision constitutes acceptance of the new Terms.

3. Use of Services
  • 1 Permitted Uses.

    2. Engage with any applications, tools, or features provided within the Services.
  • 2 Prohibited Uses. You agree not to
    1. Violate any applicable laws, regulations, or third-party rights.
    2. Use the Services for any unlawful or fraudulent purposes.

    5. Disrupt or interfere with the security or functionality of the Services.
4. User Accounts

  • 2 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.
  • 3 Termination. We reserve the right to suspend or terminate your account, with or without notice, for any violation of these Terms or unauthorized conduct.
5. Content Ownership & License
  • 1 Our Content. All text, images, graphics, logos, videos, code, and other materials (“Company Content”) provided via the Services are the exclusive property of Dots IT and Software Limited or its licensors and are protected by intellectual property laws.
  • 2 User-Generated Content. Any content you upload, submit, or post to the Services (“User Content”) remains your property. By posting, you grant Dots IT and Software Limited a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, and display your User Content for the purposes of providing and promoting the Services.
  • 3 Restrictions. You may not reproduce, distribute, modify, display, or create derivative works of Company Content without our prior written permission.
6. Fees & Payment
  • 1 Pricing Any paid services or premium features will be presented with clear pricing. All fees are in Bangladeshi Taka (BDT) unless otherwise stated.
  • 2 Payment Terms. Payments are due at the time of purchase. We accept the payment methods listed on our website.
  • 3 Refunds. Unless otherwise specified, all payments are non-refundable. We may, at our sole discretion, provide prorated refunds or credits for extenuating circumstances.
7. Disclaimers & Limitation of Liability
  • 1 PAS IS The Services are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express or implied.
  • 2 No Guarantee. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
  • 3 Limitation of Liability. To the maximum extent permitted by law, Dots IT and Software Limited and its affiliates, officers, employees, and agents shall not be liable for:
    1. Any indirect, incidental, special, consequential, or punitive damages.
    2. Loss of profits, revenue, data, or goodwill arising out of or in connection with your use of the Services.
    3. Any claim arising from unauthorized access to or alteration of your transmissions or data.
8. Indemnification

You agree to defend, indemnify, and hold harmless Dots IT and Software Limited, its officers, directors, employees, and agents from any losses, damages, liabilities, claims, or expenses (including reasonable attorneys’ fees and costs) arising out of or related to:

  • 1. Your violation of these Terms or any applicable law
  • 2. Your use of the Services beyond the scope expressly permitted by these Terms.
  • 3. Your infringement or misappropriation of any intellectual property or other rights of a third party.
9. Governing Law & Dispute Resolution
  • 1 Choice of Law These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of Bangladesh, without regard to its conflict of law principles.
  • 2 Arbitration.Any controversy, claim, or dispute arising out of or relating to these Terms shall be settled by arbitration in Dhaka, Bangladesh, under the Dhaka Centre for International Arbitration (BCIAC) rules. The award rendered by the arbitrator(s) shall be final and binding.
  • 2 Equitable Relief.Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a competent court of law to prevent unauthorized use or disclosure of intellectual property.
10. Termination
  • 1 By You. You may terminate your account or stop using the Services at any time.
  • 2 Arbitration. We may suspend or terminate your account immediately and without notice if you breach these Terms or engage in any prohibited conduct.
  • 2 Equitable Relief.Upon termination, your right to access and use the Services will immediately cease. Sections regarding Ownership & License, Disclaimers & Limitation of Liability, Indemnification, Governing Law, and Miscellaneous will survive.
11. Miscellaneous
  • 1 Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be deemed severed and the remaining provisions will remain in full force and effect.
  • 2 Entire Agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Dots IT and Software Limited concerning the Services, superseding any prior agreements or understandings.
  • 3 Waiver. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
